Acceptance and Account Creation

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "Customer," or "user") and SignalAEO LLC, a Utah limited liability company ("SignalAEO," "we," "us," or "our"), governing your access to and use of the SignalAEO platform and services (the "Service").

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not create an account or use the Service.

Account Creation Requirements

To access the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
• Provide accurate, current, and complete registration information
• Maintain and update your registration information to keep it accurate
• Agree to these Terms and our Privacy Policy

We reserve the right to refuse registration or terminate any account at our discretion, including if we believe your registration information is inaccurate, or that you have violated these Terms.

Description of the Service

SignalAEO is an Answer Engine Optimization (AEO) measurement and analytics platform. The Service allows businesses to understand how AI-powered answer engines — including ChatGPT, Perplexity, Gemini, and similar platforms — respond to queries relevant to their products, services, and geographic markets.

Core Capabilities

Measurement: We run structured queries through real consumer devices signed into real AI platform accounts, in geographic markets you specify. We capture the responses those AI platforms return at the time of observation.

Reporting: We analyze and present captured AI response data in dashboards and reports, showing whether your business is cited, how frequently, and how that changes over time.

Recommendations: Based on observed data, we provide recommendations for content, schema, and positioning changes that may improve your AI citation rate. These recommendations are advisory; outcomes are not guaranteed. See Section 9 (Warranties and Disclaimers).

Benchmarking: Where available, we show your citation performance relative to competitors you specify or that our system identifies.

What the Service Is Not

• The Service is not a search engine ranking tool and does not modify or influence search engine results pages (SERPs)
• The Service does not guarantee, promise, or contractually bind SignalAEO to deliver any specific number of citations, AI mentions, or leads
• The Service is not a managed content writing or SEO agency; we provide measurement data and recommendations, but implementation of any recommended changes is your responsibility

Account Responsibilities

One Account Per Authorized User

Unless you have subscribed to a plan that explicitly allows multiple seats or team members, each account is for a single authorized user. You may not share your login credentials with others or allow multiple individuals to access the Service through a single account.

Password and Access Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, whether or not you authorized it
• Notifying us immediately at contact@signalaeo.com if you suspect unauthorized access to your account

We are not liable for losses resulting from unauthorized account access caused by your failure to maintain credential security.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and when configuring the Service. Providing false or misleading information may result in termination of your account.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You are solely responsible for any content you configure the Service to monitor and any decisions you make based on Service outputs.

Fees, Billing, and Refunds

Full refund and cancellation terms are set out in our Refund & Cancellation Policy, which is incorporated into these Terms.

Subscription Plans and Pricing

The Service is offered on a subscription basis. Current pricing, plan features, and billing cycles are described on our pricing page at signalaeo.com/pricing. Prices are in US dollars unless otherwise stated.

Billing and Auto-Renewal

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By providing a payment method, you authorize SignalAEO (via our payment processor, Stripe, Inc.) to charge your payment method for the applicable fees on each renewal date without additional notice.

Free Trials

The Starter plan is a 14-day free trial of the Growth tier. You will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid subscription and your payment method will be charged at the Growth rate unless you cancel before the trial ends. Price Changes

We may change subscription prices at any time. We will provide at least 30 days' advance notice of any price increase via email to the address on your account. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Refunds

Subscriptions are billed monthly, and you may cancel at any time. We do not provide prorated refunds for partial months. We do not provide refunds for unused features or dissatisfaction with AI citation outcomes (which are outside our control — see Section 9). Full details are in our Refund & Cancellation Policy.

Taxes

Stated prices do not include applicable taxes. You are responsible for all taxes, duties, and levies imposed by any taxing authority on your use of the Service, excluding taxes on SignalAEO's income.

Overdue Accounts

If payment is not received by the due date, we may suspend access to your account until payment is received. If your account remains overdue for more than 30 days, we may terminate your account.

Usage Restrictions

These restrictions supplement our Acceptable Use Policy, which is incorporated into these Terms. You agree not to use the Service in the following ways:

Data Restrictions

• No unauthorized resale of data: You may not resell, sublicense, redistribute, or commercially exploit SignalAEO's reports, data outputs, or platform access to third parties, except as expressly permitted in writing by SignalAEO
• No competitive intelligence aggregation for resale: You may not use the Service to compile competitive intelligence or AI response data for the purpose of selling or licensing that data to others
• No scraping or harvesting: You may not use automated scripts, bots, crawlers, or other automated means to extract data from the Service beyond what the Service's own export features permit

Platform Integrity

• No interference with the device farm: You may not take any action intended to interfere with, disrupt, or manipulate SignalAEO's device infrastructure, observation methodology, or data collection systems
• No reverse engineering: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any underlying technology, except to the extent permitted by applicable law
• No unauthorized access attempts: You may not attempt to gain unauthorized access to the Service's systems, other user accounts, or related infrastructure

Lawful Use

• Compliance with laws: You agree to use the Service only in compliance with all applicable laws and regulations, including those governing data privacy, advertising, and competitive practices
• No abusive queries: You may not configure the Service to run queries intended to harass, defame, or harm any individual or business, or to generate misleading data

Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to legal liability.

Content and Data Ownership

Your Data

You own your data. The business names, keywords, locations, and configurations you provide to the Service ("Customer Configuration Data"), and the reports generated specifically from your configurations ("Your Reports"), remain your property. You grant SignalAEO a limited license to use your Customer Configuration Data solely to operate and improve the Service on your behalf.

When you cancel your account, you may export your reports and data using the Service's export tools during your subscription period. We will make your data available for export for 30 days after cancellation. After that period, we may delete your data in accordance with our Privacy Policy.

SignalAEO's Data and Aggregate Insights

SignalAEO owns its platform, methodology, and aggregate data. We retain all rights to the SignalAEO platform, application, and underlying software; our observation methodology, device infrastructure, and data processing systems; and aggregated, de-identified, and anonymized data derived from our observations across all customers.

We do not sell your individually identifiable data to third parties. See our Privacy Policy.

License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, SignalAEO grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term, solely for your internal business purposes.

Third-Party Services

AI Platforms

The Service observes and reports on the outputs of third-party AI platforms, including ChatGPT, Perplexity, and Gemini ("AI Platforms").

Important limitations:

• We do not control the AI Platforms, their models, training data, algorithms, or outputs
• AI Platform outputs can change at any time without notice to SignalAEO or to you
• A citation that appears in an AI response today may not appear tomorrow, and vice versa — this is a function of the AI Platform's behavior, not of the SignalAEO Service
• SignalAEO is not affiliated with, endorsed by, or partnered with any AI Platform unless explicitly stated

Other Third-Party Integrations

The Service may integrate with or link to third-party tools and platforms, including our payment processor Stripe, Inc. Your use of those services is governed by their own terms. We are not responsible for the practices or content of third-party services.

Intellectual Property

SignalAEO's Intellectual Property

All intellectual property rights in the Service — including the software, design, visual elements, documentation, trademarks, service marks, and trade names — are owned by SignalAEO or our licensors. Nothing in these Terms transfers any ownership interest in SignalAEO's intellectual property to you.

"SignalAEO" and associated logos and marks are trademarks of SignalAEO, LLC. You may not use our marks in any way that implies endorsement, affiliation, or sponsorship without our prior written consent. Trademark inquiries may be directed to contact@signalaeo.com.

Customer Brand Use for Case Studies

With your prior written permission, we may reference your company name and describe your general use case in our marketing materials, case studies, or customer success stories. We will not use your specific data or results without your explicit consent. You may revoke this permission at any time by contacting us.

Warranties and Disclaimers

No Guarantee of Citation Results

We measure. We do not control. AI citations are determined by third-party AI platforms based on their own algorithms, training data, and criteria. SignalAEO does not guarantee, warrant, or represent that:

• Use of the Service will result in your business being cited by any AI platform
• Implementing our recommendations will increase, maintain, or produce any specific number of citations
• Citation rates observed during your subscription will persist, improve, or remain consistent

This is not a limitation of our commitment to quality — it is an honest description of how AI platforms work. No service provider can guarantee the outputs of an independent AI model.

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, or secure; that any errors in the Service will be corrected; that the Service will meet your specific business requirements; or that data we report will be free of inaccuracy.

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SIGNALAEO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE; OR
• ANY DIRECT DAMAGES IN EXCESS OF THE TOTAL FEES YOU PAID TO SIGNALAEO IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM

THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT SIGNALAEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the limitation of liability for certain types of damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless SignalAEO and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property or other rights
• Any content, data, or configurations you submit to the Service
• Any claim by a third party arising from your use of reports or recommendations generated by the Service

Termination

Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at contact@signalaeo.com. Cancellation takes effect at the end of your current billing period — you will retain access through the period you have paid for, and your subscription will not renew.

Termination by SignalAEO

We may suspend or terminate your account immediately, with or without notice, if:

• You breach any material provision of these Terms and fail to cure the breach within 10 days of written notice from us
• You engage in fraud, illegal activity, or conduct that poses a risk to SignalAEO or other users
• Your account is significantly overdue per Section 4
• We reasonably determine that continued service would expose SignalAEO to legal liability

We may also terminate the Service with 30 days' notice for any reason, including business discontinuation.

Effect of Termination

Upon termination:

• Your license to use the Service ends immediately
• You will lose access to your account and reports (subject to the post-cancellation export window described in Section 6)
• Sections that by their nature should survive termination will do so, including Sections 6, 8, 9, 10, 11, and 13

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law provisions. Subject to the arbitration clause below, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah County, Utah.

Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at contact@signalaeo.com and attempt to resolve the dispute informally. We will respond to your notice within 30 days. Most disputes can be resolved without formal proceedings.

Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its then-current rules, rather than in court, except that either party may seek injunctive or other equitable relief in court to prevent the actual or threatened infringement of intellectual property rights. The arbitration will be conducted in Salt Lake City, Utah.

Class action waiver: To the extent permitted by law, you agree to resolve disputes with SignalAEO only on an individual basis and not as part of any class, collective, or representative proceeding.

Small claims: Notwithstanding the above, either party may bring an individual claim in small claims court if the claim qualifies.

Modifications to These Terms

We may modify these Terms from time to time. When we make material changes, we will post the updated Terms on our Site with a new "Last Updated" date and notify you by email to the address on your account at least 30 days before material changes take effect.

If you do not agree to the updated Terms, you must cancel your subscription before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms you agree to when accessing specific features, constitute the entire agreement between you and SignalAEO regarding the Service and supersede all prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Assignment

You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No Agency

These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between you and SignalAEO.

Force Majeure

We are not liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, governmental action, internet or telecommunications failures, or cyberattacks.
